Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Flush field service management platform ("Service") operated by Flush ("we," "our," or "us"). By accessing or using the Service, you agree to be bound by these Terms.
1. Acceptance of Terms
By creating an account or using the Service, you agree to these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2. Description of Service
Flush is a field service management platform that provides dispatch management, customer relationship management, invoicing, payment processing, technician mobile tools, SMS and voice communications, and business analytics for home service contractors including plumbing, electrical, HVAC, and general contracting businesses.
3. Account Registration
You must provide accurate and complete information when creating an account. You are responsible for maintaining the security of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.
4. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable laws
- Send unsolicited or unauthorized SMS messages, spam, or bulk communications
- Impersonate any person or entity
- Interfere with or disrupt the Service or its infrastructure
- Attempt to gain unauthorized access to other users' accounts or data
- Use the Service to transmit malware, viruses, or other harmful code
- Resell or redistribute the Service without our written consent
5. SMS Messaging Terms
The Service includes SMS messaging capabilities for business communications between you, your technicians, and your customers. By using the SMS features, you agree to the following:
5.1 Consent and Compliance
You are responsible for obtaining proper consent from message recipients before sending SMS messages through the Service. You must comply with all applicable laws and regulations governing SMS communications, including but not limited to the Telephone Consumer Protection Act (TCPA), CAN-SPAM Act, and all Federal Communications Commission (FCC) rules and guidelines.
5.2 Message Types
SMS messages sent through the Service may include:
- Appointment confirmations and reminders
- Dispatch notifications to technicians
- Job status updates
- Quote approvals and payment links
- Invoice and receipt delivery
- Schedule change notifications
- Service follow-up communications
5.3 Opt-Out Handling
All SMS messages include opt-out instructions. Recipients may opt out at any time by replying STOP to any message. You agree to honor all opt-out requests immediately. The Service automatically processes STOP requests and prevents further messages to opted-out numbers. Opt-out preferences are maintained indefinitely until the recipient opts back in by texting START.
5.4 Message Frequency
Message frequency varies based on service activity. Customers typically receive messages related to their scheduled service appointments. Technicians receive messages related to their dispatch assignments. Message and data rates may apply as determined by the recipient's mobile carrier.
5.5 Prohibited SMS Content
You agree not to use the SMS features to send:
- Unsolicited marketing messages or spam
- Messages to numbers that have opted out
- Deceptive or misleading content
- Content that violates any applicable law or regulation
- Messages unrelated to your field service business operations
6. Payment Terms
6.1 Subscription Fees
Certain features of the Service require a paid subscription. Fees are billed in advance on a monthly or annual basis. You agree to pay all applicable fees associated with your selected plan.
6.2 Payment Processing
Payment processing for end-customer transactions is provided through Stripe, Inc. By using payment features, you agree to Stripe's terms of service. We charge platform fees on transactions processed through the Service as described in your subscription plan.
6.3 Refunds
Subscription fees are generally non-refundable. If you cancel your subscription, you will continue to have access to the Service through the end of your current billing period.
7. Data Ownership
7.1 Your Data
You retain ownership of all data you input into the Service, including customer records, job information, invoices, and business data. We do not claim ownership of your content.
7.2 License to Us
You grant us a limited license to use, store, and process your data solely for the purpose of providing and improving the Service. This license terminates when you delete your data or close your account.
7.3 Data Export
You may export your data from the Service at any time. Upon account termination, we will make your data available for export for a period of 30 days.
8. Intellectual Property
The Service, including its design, code, features, and documentation, is owned by Flush and is protected by intellectual property laws. You may not copy, modify, distribute, or reverse engineer any part of the Service.
9. Service Availability
We strive to maintain high availability of the Service but do not guarantee uninterrupted access. We may perform scheduled maintenance with advance notice. We are not liable for any downtime or service interruptions.
10. Limitation of Liability
To the maximum extent permitted by law, Flush shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the Service. Our total liability shall not exceed the amount you paid for the Service in the twelve months preceding the claim.
11. Indemnification
You agree to indemnify and hold harmless Flush from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any applicable law, including but not limited to claims related to SMS messages sent through the Service.
12. Termination
Either party may terminate this agreement at any time. We may suspend or terminate your account if you violate these Terms, including misuse of SMS messaging features. Upon termination, your right to use the Service ceases immediately.
13. Modifications to Terms
We may update these Terms from time to time. Material changes will be communicated via email or through the Service. Continued use of the Service after changes constitutes acceptance of the updated Terms.
14. Governing Law
These Terms are governed by the laws of the State of Florida, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts located in Palm Beach County, Florida.
